Welcome to Knova Consult. These Terms of Service ("Terms") constitute a legally binding agreement made between you and THR33 GEMS GAME GYMS FITNESS INC (doing business as Knova Consulting), concerning your access to and use of the knovaconsult.com website as well as any other media form, related services, or software applications (collectively, the "Services").

1. Agreement to Terms

By accessing the Services, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.

2. Services and Subscriptions

Knova Consult provides AI infrastructure implementation and automated front-desk receptionist software (e.g., TalkWise). Our software and consulting services are billed either on a one-time basis (e.g., Strategy Audits) or via recurring monthly subscriptions. Subscription tiers and associated features are detailed on our website and during the checkout process.

3. Payment, Billing, and Cancellation

All payments are securely processed through Stripe. By providing payment information, you authorize us to charge the designated payment method for the total amount of your purchase or subscription. Subscriptions automatically renew unless canceled prior to the next billing cycle. You may cancel your subscription at any time by contacting our support team or via your billing portal.

3.1. 30-Day Booking Performance Guarantee & Refund Policy

For AI Receptionist subscriptions (Trades Line, Practice Line, Firm Line), Knova Consult provides a measurable 30-Day Booking Performance Guarantee:

• Eligibility Conditions: Call forwarding from your primary business line must remain active throughout the 30-day billing cycle, and your line must receive a minimum of thirty (30) eligible inbound customer calls during the initial 30 days.
• Performance Metric: If your active line receives 30 or more eligible calls and yields fewer than three (3) verified booked consultations, appointments, or estimate requests within that 30-day window, you are entitled to a 100% refund of your first month's recurring plan fee upon written notice.
• Build Fees: One-time engineering onboarding and setup fees ($497 for Trades, $997 for Practice/Firm) cover dedicated local number provisioning, telephony infrastructure, custom LLM prompt engineering, and calendar API wiring, and are non-refundable.
• Low Volume Extension: If your business receives fewer than 30 inbound calls during the initial 30 days due to caller seasonality, your guarantee evaluation period automatically extends for an additional 30 days (up to 60 days total) at no penalty.

3.2. Florida Call Recording & AI Disclosure Compliance

Under Florida law (Fla. Stat. § 934.03) and applicable two-party consent laws, telephone interactions handled by AI systems are recorded and transcribed. Inbound calls are answered with an explicit verbal disclosure that the caller is speaking with an AI assistant and that the call is recorded for quality, scheduling, and training purposes. Clients agree to maintain call forwarding configurations that preserve this disclosure.

4. SMS and Communications

By providing your phone number, you consent to receive SMS communications from us regarding your service deployment, account status, and marketing updates. Standard message and data rates may apply. You may opt out at any time by replying "STOP".

5. Disclaimer of Warranties and Liability

The Services are provided on an "as-is" and "as-available" basis. THR33 GEMS GAME GYMS FITNESS INC makes no representations or warranties of any kind regarding the reliability, accuracy, or profitability resulting from the use of our AI systems. In no event will THR33 GEMS GAME GYMS FITNESS INC be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the Services.

6. Intellectual Property

All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein are owned or controlled by us and are protected by copyright and trademark laws.
